Terms of Service

Wyrl is a product operated by Unseized LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Wyrl application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Wyrl. By using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms. If we learn that a user is under 18, we will terminate the account and may delete associated data.

2. Description of the Service

Wyrl is a location-based networking and discovery platform that allows users to:

  • Discover nearby users
  • Create and view events, popups, and bulletins
  • RSVP or check in to events
  • Exchange messages
  • Share limited profile information

Wyrl does not:

  • Verify user identities
  • Conduct background checks
  • Guarantee that users will meet, respond, or behave appropriately
  • Host, operate, or supervise events

3. Real-World Interactions & Assumption of Risk

Wyrl facilitates connections that may result in real-world, in-person interactions. You understand and agree that:

  • Wyrl does not control or supervise user behavior
  • User information may be inaccurate, incomplete, or misleading
  • You assume all risks associated with interacting with others in person

You are solely responsible for your personal safety and conduct when interacting with other users, attending events, or meeting individuals discovered through the Service. We encourage users to exercise good judgment and take reasonable precautions, including meeting in public or well-lit places, informing a trusted person of your plans, and discontinuing interactions that make you feel uncomfortable or unsafe. Wyrl does not provide safety guarantees, does not supervise user interactions, and is not responsible for the actions or conduct of any user.

4. Location-Based Features

Wyrl relies on precise location data by default, and approximate location when precise location is unavailable.

You acknowledge that:

  • Location data may be inaccurate, delayed, or unavailable
  • Displayed proximity does not guarantee real-time presence
  • Location information should not be relied upon for safety-critical decisions

You may control location permissions through your device settings, but disabling location access may limit functionality.

5. User Accounts

You are responsible for:

  • Providing accurate and current information
  • Maintaining the security of your account
  • All activity occurring under your account

You may not:

  • Impersonate another person
  • Create accounts for others without permission
  • Use Wyrl for unlawful or harmful purposes

6. User Content

You may submit content including profiles, photos, messages, events, popups, bulletins, and other materials ("User Content"). Unacceptable content — including harassment, hate speech, discrimination, or other prohibited conduct — is not permitted in any User Content, including in events, popups, or bulletins.

Ownership

You retain ownership of your User Content.

License to Company

By submitting User Content, you grant Unseized LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, display, and distribute such content solely in connection with operating and improving the Service.

Intellectual Property

The "Wyrl" name, logo, and the Service (including its design, features, and software) are owned by Unseized LLC or its licensors. You do not receive any right or license to use them except as necessary to use the Service in accordance with these Terms.

7. Content Moderation & Enforcement

We are committed to maintaining a safe and professional environment. We have zero tolerance for harassment, discrimination, bullying, hate speech, threats, intimidation, or abusive behavior of any kind. This applies across the platform, including in messages, events, popups, and bulletins.

We reserve the right (but have no obligation) to:

  • Remove, restrict, or review any User Content, including content in events, popups, and bulletins
  • Limit messaging or platform features
  • Suspend or permanently terminate accounts
  • Restrict access to events or networking features
  • Investigate reports of misconduct or policy violations
  • Take any action necessary to protect users, event organizers, and the Service

These actions may be taken with or without notice if we believe a user has engaged in behavior that is harmful, abusive, deceptive, unsafe, or violates these Terms.

Severe violations — including harassment, discrimination, threats, or coordinated spam — may result in immediate account termination.

8. Spam & Prohibited Communications

Wyrl is designed to support intentional, respectful networking. Spam, mass messaging, and abusive communication are not allowed. The same standards apply to content in events, popups, and bulletins.

Prohibited Conduct

You may not use Wyrl to:

  • Send bulk, automated, or indiscriminate messages to multiple users
  • Harass, bully, intimidate, or target other users
  • Engage in discrimination based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or other protected characteristics
  • Send hate speech, offensive content, or threats
  • Send repeated unwanted messages after a user has not responded or has declined contact
  • Promote products, services, or solicitations in a spam-like or aggressive manner
  • Attempt to scrape, harvest, or mass-contact users from the platform
  • Use Wyrl primarily for unsolicited advertising or lead harvesting

Behavior intended to pressure, manipulate, or overwhelm users with messages is considered abuse of the platform.

Reporting & Enforcement

Users can report spam, harassment, discrimination, bullying, or other violations directly within the app.

When reports are received:

  • Reports are logged and reviewed by Company
  • We may limit messaging privileges during review
  • Users may receive warnings, feature restrictions, suspension, or permanent bans
  • Severe violations may result in immediate removal from the platform

We may also take action based on patterns of behavior, including excessive outreach, repeated reports, or evidence of spam activity.

We strongly encourage users to report any behavior that makes them feel unsafe, targeted, or harassed.

9. Events, Popups, and Bulletins

Events, popups, and bulletins are user-generated. Content in events, popups, and bulletins must not contain harassment, hate speech, discrimination, or other content that violates these Terms.

Wyrl:

  • Does not organize or host events
  • Is not responsible for cancellations, changes, safety, or accuracy
  • Does not guarantee attendance or outcomes

Participation is at your own risk.

10. Sharing Information with Event Organizers

When you RSVP to or check in to an event, we may share your name and email address with the event organizer to facilitate event coordination.

Scanning a QR code alone does not share your name or email unless you separately RSVP or check in.

11. Communications & Email Marketing

By providing your email address, you agree that we may send:

  • Service-related communications
  • Product updates
  • Feature announcements
  • Marketing communications, where permitted by law

You may opt out of marketing emails at any time using the unsubscribe link or by contacting support@wyrl.io. Transactional or service emails may still be sent as permitted by law.

12. No Guarantee of Availability

Wyrl does not guarantee:

  • The presence of nearby users
  • The availability of events or popups
  • Any minimum level of activity, engagement, or response

13. Third-Party Services

The Service may rely on third-party providers. Unseized LLC is not responsible for outages, errors, or failures caused by third-party services.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason. You may close your account at any time through the account settings or by contacting us. Certain provisions of these Terms survive termination as described in the Survival section below.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available." Unseized LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, Unseized LLC shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service or interactions with other users.

Unseized LLC is not liable for:

  • User behavior
  • Messages between users
  • Networking outcomes
  • Business losses
  • Missed opportunities
  • Event-related disputes
  • Data inaccuracies
  • Platform interruptions

In no event will Unseized LLC's total liability to you for all claims arising out of or related to the Service exceed the greater of (a) the amount you paid to Unseized LLC, if any, in the twelve (12) months before the claim, or (b) one hundred dollars (USD $100).

Your use of Wyrl is at your own risk.

17. Indemnification

You agree to indemnify and hold Unseized LLC harmless from claims resulting from:

  • Your use of the platform
  • Your interactions with other users
  • Violations of these Terms
  • Violations of applicable law

18. Dispute Resolution; Arbitration

You and Unseized LLC agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, and that you waive any right to participate in a class action or class-wide arbitration. Either party may seek injunctive or other equitable relief in court for claims related to intellectual property or unauthorized access. This section does not prevent you from filing a complaint with a regulatory authority.

The arbitration will be conducted in Oregon under Oregon law unless otherwise required by applicable law.

19. Governing Law & Venue

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles. Except for arbitration under Section 18, any legal action that is not subject to arbitration shall be brought exclusively in state or federal courts located in Oregon.

20. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other policies we reference, constitute the entire agreement between you and Unseized LLC regarding the Service and supersede any prior agreements or understandings.

22. Survival

Sections that by their nature should survive termination will survive, including without limitation: User Content (license to Unseized LLC), Limitation of Liability, Indemnification, Dispute Resolution; Arbitration, Governing Law & Venue, and this Survival provision.

23. Assignment

Unseized LLC may assign or transfer these Terms or its rights and obligations hereunder (including in connection with a merger or sale of assets). You may not assign or transfer your rights or obligations without Unseized LLC's prior written consent.

24. No Waiver

Unseized LLC's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

25. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance.
